Terms of Service

Agreement

These terms govern your use of the Headcore platform. By creating an account or using the service you accept them on behalf of your company. If you do not agree, do not use the service. Headcore is provided by Headcore International B.V., registered in Amsterdam, the Netherlands, Chamber of Commerce number 42143330.

The service

Headcore is a matching system for technical business-to-business work. A buyer describes what it needs and the request reaches companies that do that kind of work. Headcore makes the introduction only: it is not a party to any agreement, work, payment or dispute between a buyer and a supplier, and does not check the technical quality of the companies on it.

A request can be posted anonymously. Suppliers then see the job and not who posted it, and the buyer decides when to reveal itself to a particular supplier. Headcore can always see who posted a request, and so can a local partner where we have appointed one.

Accounts and eligibility

Headcore is for businesses and the people authorised to act for them, and is not offered to consumers. You must give accurate company and contact details, keep your sign-in details secure, and you remain responsible for what happens under your account. You are responsible for the people you invite into your company's account.

Tokens

A supplier uses one token to respond to a request. Buyers post for free. Tokens are sold at the price shown before you buy, in the currency of your country, and that price can change for future purchases. Prices exclude VAT and other taxes unless stated otherwise, and we issue an invoice for every purchase.

Tokens have no cash value and are not refundable. You can withdraw a response for as long as the buyer has not been in touch about it. Withdrawing is final: the response is removed, the token stays spent, and you cannot respond to that request again.

Acceptable use

You may not copy, scrape or otherwise extract the service catalogue or other companies' data; probe or interfere with the security of the platform; misuse requests, responses or the matching, including posting a request you have no real intention of awarding; or use the service unlawfully. What a buyer writes in a request is shared with you so that you can decide whether to respond and what to offer. You may not publish it, pass it on to anyone else, or use it for anything else. We may suspend or close an account that breaches this.

Your content

You keep your rights in what you submit. You grant Headcore the licence it needs to host, process (including by AI, as described in the Privacy Notice) and share your content in order to run the service. You are responsible for the accuracy and lawfulness of what you submit, and for having the right to share it.

No warranty

The service is provided as it is. We do not guarantee that a request will receive responses, that any company is suitable, or any particular outcome. What you agree with another company, and the work itself, is between the two of you and at your own risk.

Liability

To the fullest extent the law allows, Headcore is not liable for indirect or consequential loss, and our total liability is limited to what you paid us in the twelve months before the event that gave rise to the claim. Nothing here limits liability that cannot be limited by law, such as liability for intent or deliberate recklessness. Neither of us is liable for a failure caused by something outside our reasonable control, such as a power, network or supplier failure. You are responsible for what you submit and how you use the service, and you cover us against claims by others that arise from either.

Intellectual property

The platform, its software and the work profile catalogue are Headcore's intellectual property and may not be copied or used except as the service allows. While these terms apply, you may use the platform for your own business: that right is not exclusive, and you cannot transfer it.

Ending

You can stop using Headcore at any time, and you can ask us to close your account. We may suspend or close an account that breaches these terms, and we will say why. Unused tokens are not refunded when you leave or when we close an account for a breach. If Headcore stops running the service, we refund the tokens you have not used.

Changes, suspension and governing law

We may update these terms by publishing a new version here, and the date above says when we last did. If a change matters to you, we will tell you a reasonable time before it takes effect, and if you do not accept it you can stop using the service. Tokens you have already bought stay usable under the terms that applied when you bought them. These terms are governed by the law of the Netherlands, and disputes go to the courts of Amsterdam. This does not affect any right you have under the law of your own country that cannot be set aside by agreement, and local law continues to apply to what happens in your market.

General

We may transfer these terms to another company that takes over the Headcore business, and your rights stay the same. You may not transfer your account without our agreement. These terms, together with the Privacy Notice, are the whole agreement between us about the service. If any part of them cannot be enforced, the rest still applies.
